• Client has an LLC engaged in a for-profit photography business.


• Last year client personally volunteered to give photography lessons to teenagers in an after-school program at a local high school.  Everyone involved praised her efforts


• Client desires funding from the school system to create a more formalized after school program.  To qualify she needs to have a nonprofit corporation with 501(c)(3) exempt status.


• She wants (somehow) to use the new nonprofit to help her for-profit business to grow.
